Shareholding and board
Who should hold how many shares, who should be a director, and how vesting or future investors will fit in, settled before anything is filed.
01 · Start right
Company registration in Bangalore is quick to start and easy to get quietly wrong. We handle private limited company registration end to end with our Company Secretaries, and we give as much attention to the choices behind the forms (who holds shares, who sits on the board, what the company is set up to do) as to the filings themselves.
Founders in Bengaluru usually come to us at one of two moments: before incorporation, wanting it done properly the first time, or a few months later, when a bank, an investor or a co-founder asks a question the setup cannot answer. The first is the easier conversation.

The work
Who should hold how many shares, who should be a director, and how vesting or future investors will fit in, settled before anything is filed.
Name checks against existing companies and trademarks, and a memorandum and articles of association written for your business, not copied from a standard set.
Digital signatures, director identification and the incorporation filing on the MCA portal, prepared and submitted with our Company Secretaries.
Which documents a foreign national must provide, how they are attested abroad, and the reporting that foreign investment brings under Indian exchange-control rules.
Bank account, GST and professional tax registrations where they apply, statutory registers, the first board meeting and a calendar of first-year filings.
Our approach
Before we file anything, we ask what the company is for: who is putting in money, who is putting in time, whether you plan to raise funds, and whether anyone involved lives outside India. Those answers decide the shareholding, the board and the objects clause, and they cost far less to get right now than to amend later.
The filings are then prepared and submitted with our Company Secretaries, who also answer any queries raised during processing. Once the certificate of incorporation is issued, we stay on for the setup steps that most founders only hear about when a deadline is close.
How we work
Working together
Company registration is a project with a clear end. Many founders then move to a monthly retainer for accounting and compliance, so the first year of filings is handled by the people who set the company up.
FAQ
It depends mainly on name approval, how quickly the directors complete their digital signatures and documents, and whether the registry raises queries. With documents ready, incorporation typically takes weeks rather than months. A foreign director usually adds time, because their documents must be attested abroad.
Yes. A foreign national can be a director and a shareholder, with identity and address documents attested as the rules require. Indian company law also requires at least one director to meet a residency test in India, so a company whose directors all live abroad needs a plan for that. Foreign shareholding brings its own reporting under exchange-control rules.
Identity and address proof for every director and shareholder, proof of the registered office address with the owner's no-objection where the premises are rented, and digital signatures for the directors. We send a checklist specific to your case before we start.
A private limited company usually suits businesses that plan to raise equity or issue shares to employees. Our article comparing private limited companies and LLPs sets out the trade-offs in detail.
