Partners and capital
Who contributes what, in cash or in kind, how profit and losses are shared, and who will serve as designated partners responsible for compliance.
01 · Start right
LLP registration in Bangalore suits many professional firms, family businesses and small partnerships, but the registration is the easier half. The LLP agreement decides how partners share profit, who can sign, what happens when someone wants out and how disagreements are settled. We handle both: the filings with our Company Secretaries, and the agreement with our partner advocates.
Most LLP problems we come across in Bengaluru do not start at incorporation. They start with an agreement downloaded and filled in on the day, which then says nothing useful when a partner leaves or a new one wants in.

What we hear
The work
Who contributes what, in cash or in kind, how profit and losses are shared, and who will serve as designated partners responsible for compliance.
Name reservation, digital signatures and the incorporation filing on the MCA portal, prepared and filed with our Company Secretaries.
An agreement written around your partners and prepared with our partner advocates: roles, decision rights, drawings, admission and retirement of partners, non-compete and dispute resolution.
The signed agreement stamped as required and filed with the registry within the time allowed after incorporation.
Bank account, GST where it applies, and a calendar for annual LLP returns and the income tax return.
Our approach
We meet the partners together before drafting, and sometimes one by one as well. Partners often hold different assumptions about effort, drawings or who keeps the clients if the firm splits, and those are better raised across a table now than in a legal notice later.
The agreement is drafted in plain English, walked through with you clause by clause, and only then signed and filed. When the business changes, whether a new partner, a new location or a new profit share, we help amend the agreement and file the change so the record matches how you work.
How we work
Working together
Registration and agreement drafting run as one project. Reviewing or rewriting an existing LLP agreement is a smaller project of its own, and annual LLP compliance can move to a monthly retainer.
FAQ
Typically a few weeks, depending on name approval, how quickly the partners complete their digital signatures and documents, and whether the registry raises queries. The agreement is filed after incorporation, so it helps to settle its terms while registration is in progress.
In practice, yes. Where there is no agreement, or the agreement is silent on a point, default rules in the LLP law apply, and they rarely match what partners intend. A written, filed agreement is the reliable record of what was actually agreed.
Yes. Partners can amend the agreement in the way it allows, and the change must then be filed with the registry. We review the current agreement, prepare the amendment with our partner advocates and handle the filing.
Neither is better in general. It depends on whether you plan to raise equity, how many people are involved and how you want to take profits out, and our article on private limited versus LLP covers those trade-offs.
